By accessing or using the NTB Industrial Park website (ntbip.com) and any related digital platforms or services (collectively, the “Site” or “Services”), you agree to be legally bound by these Terms of Use and all incorporated policies. If you do not agree, you must discontinue use of the Site immediately.

NTB Industrial Park is an integrated industrial development located in Da Nang City, Vietnam, providing ready-to-use factory solutions supported by renewable energy systems, AI-enabled infrastructure, and synchronized green utilities. Please note:

  • Eligibility: Use of the Site and Services is intended for business representatives, investors, and related professionals aged eighteen (18) years or older.
  • Nature of Services: All information on the Site is provided for general reference only and does not constitute an offer or solicitation. Descriptions of factories, renewable energy solutions, AI-enabled systems, green infrastructure, and related services are indicative and subject to technical feasibility, regulatory requirements, and separate contractual agreements.
  • Updates: NTB may modify these Terms of Use from time to time. Continued use of the Site following any updates constitutes acceptance of the revised Terms.

1. Introduction

NTB Industrial Park (NTB) is a next-generation eco-oriented industrial park designed to support modern manufacturing enterprises through ready-built factory solutions, renewable energy systems, digital and AI-enabled infrastructure, and synchronized green utilities.

Our development philosophy prioritizes operational readiness, environmental responsibility, and long-term scalability, enabling tenants to accelerate production while aligning with ESG principles, energy transition goals, and global supply chain requirements.

2. Products & Services

2.1 Our Commitment

NTB Industrial Park provides integrated, ready-to-operate industrial solutions that reduce setup time, optimize energy efficiency, and support data-driven operations. Our offerings are designed to help manufacturers focus on core production while leveraging shared infrastructure, renewable energy, and smart systems from day one.

2.2 Core Offerings

A. Ready-Built Factories (RBF)
NTB delivers modern ready-built factory facilities tailored to diverse industrial uses. These factories are designed with flexible layouts, standardized technical specifications, and future expansion capability. Facilities are supported by stable power supply, centralized utilities, and site-wide infrastructure planning.

Where applicable, factories may be integrated with rooftop solar photovoltaic systems, energy monitoring platforms, and energy storage solutions, subject to technical feasibility and contractual terms.

B. Renewable Energy & Energy Systems
NTB supports tenants’ energy transition objectives through:

  • Rooftop solar power systems
  • Centralized or distributed energy storage solutions
  • Energy efficiency and consumption monitoring
  • Infrastructure readiness for future renewable integration

Energy-related solutions are offered as part of integrated infrastructure planning or through separate commercial agreements, depending on tenant requirements.

C. AI-Enabled & Digital Infrastructure
The industrial park infrastructure is designed to support:

  • Smart energy and utility monitoring
  • Predictive maintenance and operational analytics
  • Centralized data collection for ESG and compliance reporting

Actual deployment of AI-enabled systems may vary by project scope, unit type, and contractual arrangement.

D. Green & Synchronized Infrastructure
NTB implements a coordinated approach to green infrastructure, including internal road networks, utilities, wastewater treatment, and landscape planning. This ensures consistency, operational reliability, and long-term sustainability across the industrial park.

E. Support Services
NTB may provide or coordinate ancillary services such as regulatory assistance, infrastructure management, and operational support. Availability of such services is subject to separate agreements and may vary by tenant.

Note: All specifications, technologies, and services described are indicative and subject to final technical assessment and contractual confirmation.

3. Intellectual Property Rights

3.1 Ownership of Materials

All intellectual property made available on the NTB Industrial Park website, including but not limited to trademarks, logos, service marks, textual content, technical descriptions, system concepts, energy and infrastructure illustrations, AI-related representations, data visualizations, graphics, photographs, videos, website layout, and interface design (collectively, the “Protected Materials”), are the exclusive property of NTB Industrial Park or its respective licensors.

These Protected Materials are safeguarded under the laws of the Socialist Republic of Vietnam and applicable international intellectual property conventions.

3.2 Permitted Use

NTB grants users a limited, non-exclusive, revocable, and non-transferable license to access and use the Protected Materials solely for lawful, non-commercial, and informational business purposes. Permitted use includes viewing, downloading, and printing content for internal reference, feasibility assessment, or preliminary evaluation, provided that all copyright notices and proprietary markings remain intact.

3.3 Restrictions

Any use of Protected Materials beyond the scope expressly permitted is strictly prohibited. This includes, without limitation, reproduction, modification, translation, commercial exploitation, resale, data mining, systematic extraction, reverse engineering of digital systems, or unauthorized use of NTB’s trademarks or technical concepts related to renewable energy, AI-enabled infrastructure, or industrial solutions.

3.4 Enforcement Measures

NTB reserves all rights to enforce its intellectual property, including the right to pursue civil remedies, injunctive relief, and damages, and to cooperate with competent authorities in the event of infringement.

3.5 Third-Party Content

Certain content displayed on the Site may be provided by third-party partners, technology providers, or licensors. All such materials remain the property of their respective owners and are subject to additional terms and restrictions.

NTB encourages the reporting of any suspected intellectual property violations through our designated channels. Deposit payments do not constitute a final agreement or guarantee of availability unless expressly stated in a separate contract. All matters relating to pricing, payment terms, and refunds shall be governed by the relevant written agreement between NTB and the concerned party.

Such termination may occur immediately and without warning in cases of severe breaches, including but not limited to unauthorized system access, distribution of malicious software, fraudulent activities, or any conduct that compromises the security or integrity of our services.

Upon termination of access, all rights and privileges granted to the user under these Terms shall cease immediately. Users whose access has been revoked must discontinue all use of NTB's digital resources and may not attempt to circumvent such restrictions by creating new accounts or accessing our services through alternative means. NTB maintains comprehensive records of all access termination decisions and may share relevant information with law enforcement authorities when appropriate.

The termination of access shall not affect any provisions of these Terms that by their nature should survive, including but not limited to intellectual property rights, disclaimers of liability, and governing law provisions. NTB shall not be liable to any user or third party for any consequences resulting from the termination of access in accordance with these Terms.

NTB will review such appeals in a timely manner and may, at our sole discretion, reinstate access if we determine the termination was unwarranted. All decisions regarding access termination and reinstatement shall be final.

10. Force Majeure

NTB Industrial Park (NTB) shall not be held liable for any failure or delay in performing our obligations under these Terms when such failure or delay results from circumstances beyond our reasonable control. These force majeure events may include, but are not limited to, natural disasters such as floods, earthquakes, or severe weather conditions; acts of government including regulatory changes, administrative orders, or restrictions; civil unrest, wars, or terrorism; epidemics or public health emergencies; utility failures; or any other extraordinary events that could not have been anticipated or prevented through reasonable diligence.

In the event of such circumstances, NTB shall be excused from performance of affected services for the duration of the force majeure event. We will make reasonable efforts to notify users of any significant service disruptions through our website or other available communication channels. During such periods, all contractual timelines and service level agreements shall be automatically extended by a period equal to the duration of the force majeure event.

NTB shall undertake commercially reasonable efforts to mitigate the effects of any force majeure event and resume normal operations as soon as practicable. However, we cannot guarantee the timeframe for full restoration of services and shall not be required to incur unreasonable additional costs to overcome such circumstances. Users acknowledge that certain services, particularly those dependent on third-party infrastructure or government operations, may remain unavailable until the relevant external conditions normalize.

This force majeure provision shall not apply to any payment obligations or other responsibilities that can reasonably be performed despite the occurrence of such events. If a force majeure event persists for more than sixty (60) consecutive days, either party may terminate the affected services without penalty upon written notice to the other party.

11. Governing Law & Dispute Resolution

These Terms of Use and any matters relating to your access to or use of NTB Industrial Park's digital platforms shall be exclusively governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions. This legal framework shall apply to all aspects of our relationship, including but not limited to contractual obligations, intellectual property rights, and liability matters.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, both parties agree to first attempt to resolve the matter amicably through good faith negotiations. Either party may initiate this process by providing written notice to the other party specifying the nature of the dispute. Upon receipt of such notice, authorized representatives from both parties shall meet within thirty (30) days to seek a mutually acceptable resolution. This negotiation period may be extended by mutual written agreement.

Should the parties fail to reach an amicable settlement within sixty (60) days of the initial notice, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Da Nang City, Vietnam. By agreeing to these Terms, you irrevocably submit to the personal jurisdiction of these courts and waive any objections to venue or forum non conveniens. The prevailing party in any legal action shall be entitled to recover reasonable attorneys' fees and costs associated with such action.

Notwithstanding the above, NTB reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent unauthorized use of its services. This dispute resolution provision shall survive the termination or expiration of these Terms and shall continue to apply to any subsequent disputes between the parties.
